The proposed acquisition, valued at approximately US$10.75 million and payable in Class A ordinary shares, is expected to broaden the company’s research and development platform while expanding its focus beyond its existing traditional Chinese medicine business.

According to the company, the patent portfolio includes technologies related to age-related diseases, neurodegenerative conditions, cognitive disorders, cardiovascular pharmaceutical applications, antibacterial compounds, and drug delivery systems. Management believes these assets complement Universe Pharmaceuticals’ emphasis on elderly healthcare and may create future opportunities for research collaborations, licensing arrangements, co-development initiatives, and commercialization efforts. The transaction has been approved by the company’s board of directors and is expected to close during the third quarter of 2026, subject to customary closing conditions.

Universe Pharmaceuticals also stated that the acquisition is intended to strengthen its long-term asset base while supporting expansion of its pharmaceutical development capabilities.
