The Securities and Exchange Commission created an immediate regulatory pathway allowing qualifying trading venues to offer tokenized versions of publicly traded U.S. stocks. The five-year Innovation Exemption could support continuous trading and blockchain-based settlement while providing regulators with market data for developing permanent rules.
Under the exemption, stock tokens must give holders the same rights as traditional shares, including voting and dividend rights. Trading platforms must also notify issuers and wait 30 days before launching a token, giving companies an opportunity to object and prevent their securities from being offered in tokenized form.
