DENVER, Colo. (247marketnews.com) — INVE Technologies (NASDAQ:INVE) is turning its post-Trackonomy transformation into a major capital-return move, launching a $20 million tender offer as it prepares to build a new Physical AI-focused software business.

INVE Technologies is putting real money behind its promise to reward shareholders. The company announced October 21 that it has launched a modified Dutch auction tender offer to repurchase up to $20 million of its common stock, with shareholders able to tender shares at prices ranging from $2.85 to $3.40 per share. The offer expires at 5 p.m. ET on November 19, unless extended or terminated.

The headline numbers are striking. INVE closed at $2.22 on October 20, below the tender offer’s minimum price. If the offer is fully subscribed, the company estimates it could repurchase approximately 24.7% to 29.4% of its outstanding shares. That is a potentially substantial reduction in the public share count, although the final number will depend on participation and the purchase price.

Chairman James Ousley framed the move as a continuation of the company’s post-transaction strategy: “Following the close of our transaction with Trackonomy, we are delivering on our commitment to return capital to our stockholders.” He added that the offer preserves flexibility for future capital returns and strategic acquisitions.

The financial backdrop gives the announcement added weight. INVE reported preliminary, unaudited third-quarter revenue expectations of $2.9 million to $3.1 million, net income of $400,000 to $800,000, and cash of $87.1 million as of September 30. The company expects to publish final quarterly results on or about November 12. These estimates remain subject to completion of closing procedures and independent-accountant review.

This is no ordinary buyback story. In September, the former Identiv completed the sale of its specialty IoT business to Trackonomy Systems, changed its name to INVE Technologies, and received $50 million in Trackonomy preferred equity, subject to customary adjustments. The company is now repositioning itself around acquiring and growing compliance-focused and specialized software businesses that can leverage Physical AI in highly regulated industries.

The $20 million tender is part of a previously authorized repurchase program of up to $40 million.
