Aon agreed to acquire USI Insurance Services from KKR for $17 billion, expanding its presence among midsized U.S. businesses. The debt-financed transaction is expected to close during the fourth quarter, subject to regulatory approval.
USI is the tenth-largest U.S. insurance broker, generating more than $3 billion in annual revenue and employing over 10,500 people. Combined with Aon’s earlier acquisition of NFP, the deal is intended to create a leading platform serving approximately 200,000 middle-market companies and their 48 million employees.

Investor Sentiment
Aon’s sharp decline suggests investors are concerned about the acquisition price, additional debt and execution risks associated with integrating another major brokerage platform. Although the middle market may offer stronger organic growth than large-account commercial insurance, shareholders will expect the transaction to produce meaningful returns and operating benefits.
KKR’s gain reflects a positive response to the sale, while declines among competing brokers may indicate concern about a larger rival with greater middle-market scale. Investors will monitor regulatory review, financing costs and integration plans to determine whether the acquisition can improve Aon’s growth without placing excessive pressure on its balance sheet.
