C3is Raises $6 Million to Expand Fleet

DENVER, Colo. (247marketnews.com) — C3is (NASDAQ:CISS) has secured fresh growth capital, announcing the pricing of a $6.0 million underwritten public offering that the company intends to use as it continues expanding its fleet and positioning itself within the global seaborne transportation market. While public offerings can create near-term dilution for existing shareholders, they also provide shipping companies with access to capital needed to acquire vessels, strengthen liquidity, and pursue growth opportunities in a highly cyclical industry.

Under the offering, C3is is issuing approximately 11.5 million units at $0.52 per unit, with each unit consisting of one common share (or a pre-funded warrant in lieu of a share) and one Class F warrant to purchase an additional common share. The offering is expected to generate approximately $6 million in gross proceeds before underwriting discounts and expenses, with Maxim Group LLC serving as the sole book-running manager. The company also granted the underwriters a 45-day option to purchase additional securities, which could modestly increase the size of the financing if exercised.

The financing comes as C3is continues to build a more diversified shipping portfolio. Upon the expected delivery of an additional MR product tanker, the company’s fleet is projected to grow to six vessels, including three Handysize dry bulk carriers, one Aframax tanker, and two MR product tankers, representing a combined carrying capacity of more than 311,000 deadweight tons (DWT). By operating across both dry bulk and tanker markets, C3is seeks to diversify exposure to different shipping segments and freight rate cycles.

For C3is, the financing represents another step in executing its fleet expansion strategy. While shipping remains a cyclical business heavily influenced by freight rates, fuel costs, and global economic activity, expanding and diversifying its vessel portfolio may position the company to participate in multiple cargo markets as global trade continues to evolve.
